P[X]Paralegal the trading name of PXParalegal Ltd, a private limited company incorporated in England and Wales under company number 09471183 and its registered address is at 3 Orbis Wharf, Bridges Court Road, London SW11 3GW.
Our contract with you is contained in these Terms of Engagement (the “Terms”). Please consider these carefully, and if you have any queries ask us about them as soon as possible.
P[X]Paralegal are a provider of Legal Process Outsourcing (“LPO”) services.
These Terms are an agreement (“Agreement”) between you and PXParalegal Limited.
Provision of Services
The services to which these Terms apply are those which you have selected on this website. Pxparalegal Ltd shall use its best endeavours to provide the services with reasonable skill and care.
P[X]Paralegal shall only start providing the selected services once full payment has been received.
In the event that Services are provided that are not in conformity with your order and thus incorrect, you should contact us within 10 days to inform us of the mistake. P[X]Paralegal will ensure that any necessary corrections to the Services provided are made within 7 working days.
Fees quoted shall be in Pounds Sterling.
Fees quoted are just an estimate, P[X]Paralegal reserve the right to charge more on inspection of the materials. Any additional fees shall be agreed between you and P[X]Paralegal before any of the services are provided.
Timeframes quoted for processing are given in working days. By way of example, if your documents are collected on a Monday and your quoted processing period is 2 days, P[X]Paralegal will complete the work and return your documents to you by 5pm on Wednesday.
The Standard Processing Period provided are a guide as to the maximum time that processing may take. Completion of the work carried out is guaranteed by this date however P[X]Paralegal will use it’s best reasonable endevours to complete and return all work at the earliest possible time.
P[X]Paralegal can, at your request, agree to expedite the processing time and guarantee that the work is completed by a date of your choosing. This ‘Fast Turn-Around’ service will be subject to an additional cost which will be calculated on a job by job basis.
Payments shall be made in advance of the services being provided using the secure payment facility on this website.
Any additional payments shall be made to P[X]Paralegal within 14 days of an invoice being issued.
Collect and Return
Once payment has been made, P[X]Paralegal will contact you to arrange the collection of your materials. Orders placed before 12pm shall be collected on the same day. Orders placed after 12pm shall be collected on the following working day.
On completion of the services, P[X]Paralegal shall contact you to arrange a convenient delivery time.
Custody, retention and transfer of documents
P[X]Paralegal provides a secure and trackable collection and return service.
P[X]Paralegal will store all materials securely whilst in their possession. No unauthorised persons shall have access to the materials at anytime.
For the interest of security, all materials will be scanned and retained in a secure and encrypted electronic format. Unless specifically instructed in writing, this electronic copy shall be kept for a period of 6 years.
Conflict of Interest
P[X]Paralegal will assess each matter for any potential conflict of interests that may arise and inform you as soon as reasonably possible if we are not able to provide our services. If it transpires that P[X]Paralegal cannot provide the services ordered for this reason, you will be refunded in full and your materials returned to you as soon as reasonably possible.
Information and Confidentiality
All information disclosed by you which is confidential shall be treated as such and, save where required by law or regulation, shall not be disclosed to any third party without your prior express approval.
The Data Protection Act 1998 requires us to advise you that your particulars are held on our database. P[X]Paralegal may, from time to time, use these details to send you information which we think might be of interest to you. P[X]Paralegal do not make such information available to any other provider of products and services.
All Intellectual Property rights arising form the Services provided shall belong to P[X]Paralegal. Payment of our fees shall grant you a license to use these rights for the purpose for which they were made.
P[X]Paralegal’s total liability, whether in contract, tort or otherwise, for all loss or damage arising from, or in connection with your order, is limited to the amount charged for the provision of those services. This limit applies to all causes of action against us in respect of, or arising from, or in any way connected with the work P[X]Paralegal undertake for you.
As P[X]Paralegal are a Limited Company, the work carried out for you will be carried out by P[X]Paralegal and your contract is with P[X]Paralegal only, and not with any member, employee, agent or consultant of P[X]Paralegal. Should you need to make a claim (whether in contract or otherwise) against P[X]Paralegal in relation to any piece of work carried out on your behalf or otherwise, that claim may only be brought against P[X]Paralegal, and none of the members, employees, consultants or agents of P[X]Paralegal will have any liability in respect of any such claim. You agree that you will not make any claim against the members, employees, consultants or agents of P[X]Paralegal, and you will only make any claim against P[X]Paralegal.
You shall have the right to cancel your order free of charge at any time before the materials have been collected. A full refund will then be provided.
Cancellation shall incur a fee to cover collection and delivery if the materials have already been collected. P[X]Paralegal shall then deliver the materials back to you and provide a refund for the remaining balance.
If P[X]Paralegal have already started work on your order when notice to cancel is received, work shall be immediately suspended. You will still be charged for any work carried out prior to cancellation.
Any complaints about the service provided by P[X]Paralegal shall first be directed to the designated case handler. If a resolution cannot be found within a reasonable period, then it shall be escalated to senior manager to resolve. No claim may be brought against P[X]Paralegal before attempts have been made to resolve the matter.
Rights of Third Parties
Our agreement with you is personal as between you and us and is not intended to confer any rights of enforcement on any third parties pursuant to the Contracts (Rights of Third Parties) Act 1999.
We shall not be liable to you if we are unable to perform our services as a result of any cause beyond our reasonable control. In the event of any such occurrence affecting us we shall notify you as soon as reasonably practicable.
P[X]Paralegal reserve the right to vary their Terms of Engagement from time to time.
A waiver of any right or remedy under these Terms or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default.
In the event that any part of these Terms are held to be invalid or unenforceable the remainder will continue in full force and effect.
Governing Law and Jurisdiction
This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
The parties irrevocably agree that the Courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
